Terms of Service

1. Description of Service

Salag is a freelancer protection platform that provides communication tools, project documentation, invoicing, and AI-assisted response generation to help freelancers manage client relationships professionally.

The Service is intended for individual freelancers and sole proprietors. Salag does not act as a payment processor, marketplace, escrow service, or employer. Salag is a documentation and communication tool only.

2. Eligibility

To use Salag, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement under Philippine law.
• Provide accurate registration information.
• Not be prohibited from using the Service under any applicable law.

By registering, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate accounts that are found to be in violation of these conditions.

3. Accounts and Registration

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@salag.app if you suspect unauthorized access to your account.
• Each account is for use by a single individual only. Account sharing is strictly prohibited (see Section 9).

4. Subscription Plans and Billing

Salag offers a free tier and paid subscription plans. Paid plans are billed monthly or annually as selected at the time of purchase.

• All fees are stated in Philippine Peso (PHP) and are exclusive of applicable taxes unless otherwise stated.
• Subscription fees are charged in advance at the start of each billing period.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.
• We do not provide refunds for unused portions of a billing period, except as required by Philippine consumer protection law.
• We reserve the right to modify pricing with at least 30 days' advance notice to registered users.

If payment fails, your account will be downgraded to the free tier. Outstanding balances remain due.

5. Acceptable Use

You agree to use Salag only for lawful purposes and in a manner consistent with these Terms. You must not:

• Use the Service to harass, threaten, defraud, or harm any person.
• Submit false, misleading, or fabricated client communications to the Service.
• Attempt to reverse-engineer, scrape, or systematically extract data from the Service.
• Use automated tools, bots, or scripts to access the Service without prior written consent.
• Attempt to circumvent rate limits, usage quotas, or access controls.
• Use the Service for any activity that violates Philippine law, including but not limited to the Cybercrime Prevention Act of 2012 (RA 10175).
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

6. AI-Generated Content

Salag uses third-party AI services to generate suggested responses and analysis. You acknowledge and agree that:

• AI-generated content is provided as a suggestion only. It is not legal advice, financial advice, or professional counsel of any kind.
• You are solely responsible for reviewing, editing, and deciding whether to use any AI-generated output.
• Salag does not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular situation.
• You must not use AI-generated content to make representations you know to be false or to deceive any person.
• Text you submit to AI tools may be transmitted to our AI processing provider. Refer to our Privacy Policy for details on how this data is handled.

7. Intellectual Property

All content, branding, code, design, and documentation comprising the Salag platform is owned by or licensed to Salag Software Development Services and is protected under applicable intellectual property laws.

Your content: You retain full ownership of all content you submit to Salag (tool inputs, client data, invoices, delivery files). By submitting content to the Service, you grant us a limited, non-exclusive, royalty-free license to process and store that content solely for the purpose of providing the Service to you. We do not claim ownership of your content and do not use it for any other purpose.

You must not copy, reproduce, distribute, or create derivative works of the Salag platform or its components without prior written permission.

8. Privacy

Your use of Salag is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and processing of your personal information as described in the Privacy Policy, in compliance with Republic Act No. 10173 (Data Privacy Act of 2012).

9. Account Sharing and Abuse Prevention

Salag accounts are issued for use by a single individual only. Account sharing — the practice of providing login credentials to one or more additional persons — is strictly prohibited.

We employ automated systems to detect patterns consistent with account sharing, including but not limited to concurrent sessions from multiple geographic locations or devices. Detection of account sharing may result in:

• Immediate suspension of the account without prior notice.
• Permanent termination of the account.
• Forfeiture of any unused subscription period without refund.

Any attempt to circumvent usage limits, access controls, or subscription restrictions through technical means constitutes a material breach of these Terms and grounds for immediate termination.

10. Termination

Either party may terminate the account at any time. You may delete your account from your account settings. We may suspend or terminate your account immediately, without notice or refund, if we determine in our reasonable discretion that you have:

• Violated these Terms.
• Engaged in fraudulent, abusive, or illegal conduct.
• Engaged in account sharing.
• Posed a security risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Data deletion is handled in accordance with our Privacy Policy.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted under Philippine law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Service will be uninterrupted, error-free, or free from security vulnerabilities.
• Warranties that AI-generated content will be accurate, complete, or suitable for your specific situation.
• Warranties that use of the Service will result in any particular outcome in a dispute with a client.

12. Limitation of Liability

To the fullest extent permitted by Philippine law, Salag Software Development Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to:

• Loss of income, revenue, or business opportunities.
• Loss of data or content.
• Damages arising from reliance on AI-generated content.
• Damages arising from the outcome of disputes with your clients.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us in the 12 months immediately preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Salag Software Development Services, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

14. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will endeavor to provide reasonable advance notice for material changes.

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice. Your continued use of the Service after updated Terms are posted constitutes your acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the appropriate courts of the Republic of the Philippines.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

16. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Salag Software Development Services with respect to the Service and supersede all prior agreements, representations, or understandings.
